This is an engineering draft of our Terms of Service, provided for transparency while our company completes formation. The final, attorney-reviewed version will replace it. In these Terms, "Circo," "we," "us," and "our" refer to the operator of the Circo App. Our company is in the process of registering as a corporation; the registered legal entity name and registered business address will be added here once that registration is complete.

1. Acceptance of Terms

By accessing and using Circo App, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this app.

2. Use License

Permission is granted to temporarily download one copy of Circo App for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title.

3. User Account

To access certain features of the app, you may be required to create an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

3a. Eligibility (18+)

Circo is intended only for adults. You must be at least 18 years old to create an account or use the app. By using Circo you represent and warrant that you are 18 years of age or older. We do not knowingly allow anyone under 18 to register, and we may suspend or permanently remove any account we believe belongs to a person under 18.

3b. Zero Tolerance for Objectionable Content and Abusive Users

Circo has zero tolerance for objectionable content and abusive behavior. Harassment, hate speech, threats, sexual content involving minors, and other abusive conduct are strictly prohibited. You can report objectionable content or abusive users from within the app, and you may block other users at any time. We review reports and may remove content and suspend or permanently ban accounts that violate these rules, typically within 24 hours of a report.

Users may post content such as event information, photos, and comments. You retain all rights to your content, but grant Circo App a license to use, modify, and display your content in connection with the service.

Circo App facilitates connections between users for offline events. We are not responsible for the conduct of any user or the outcomes of any offline meetings. Always prioritize your safety when meeting people in person.

7. Assumption of Risk and Release

Circo is a platform that helps people discover events and connect with one another. Circo is NOT the organizer, host, sponsor, or supervisor of any event, and Circo does not vet, screen, interview, or perform background checks on its users.

When you use Circo to meet other people in person or attend an offline event, you do so entirely at your own risk. You understand and agree that other users are strangers, that Circo cannot verify their identity, intentions, or trustworthiness, and that meeting strangers in person carries inherent risks, including the risk of personal injury, property damage, or other harm.

To the fullest extent permitted by law, you assume all risks associated with using Circo and attending any event, and you release and hold harmless Circo and its officers, directors, employees, and agents from any and all claims, demands, damages, or liabilities of any kind arising out of or relating to your interactions with other users or your participation in any event, whether online or offline.

Your use of Circo App is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the app and informs users of our data collection practices.

9. Disclaimer

The information on Circo App is provided on an "as is" basis. To the fullest extent permitted by law, we exclude all representations and warranties relating to this app and its contents.

10. Limitations of Liability

In no event shall Circo App, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the app.

11. Indemnification

You agree to indemnify, defend, and hold harmless Circo and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the app; (b) your violation of these Terms; (c) your violation of any rights of another person or entity; or (d) your interactions with other users or your participation in any event, whether online or offline.

12. Suspension and Termination

We may suspend, restrict, or permanently terminate your access to Circo, with or without prior notice, if we believe you have violated these Terms, engaged in abusive or unlawful conduct, created risk or possible legal exposure for us or other users, or if we are required to do so by law. You may stop using Circo at any time and may delete your account at any time from within the app (Settings > Delete Account). Sections of these Terms that by their nature should survive termination — including Assumption of Risk and Release, Disclaimer, Limitations of Liability, Indemnification, and Dispute Resolution — will continue to apply after your account is terminated.

13. Dispute Resolution; Arbitration and Class-Action Waiver

Please read this section carefully — it affects your legal rights.

Except where prohibited by law, you and Circo agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of Circo will be resolved through binding individual arbitration, rather than in court, except that either party may bring a qualifying claim in small-claims court.

You and Circo agree that each may bring claims against the other only on an individual basis, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding.

The specific arbitration rules, arbitration provider, venue, and any opt-out mechanism will be finalized in the attorney-reviewed version of these Terms. If this arbitration provision is found unenforceable, the remainder of this section will continue to apply to the extent permitted by law.

14. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the United States and the State in which Circo is ultimately registered and headquartered, without regard to its conflict-of-law provisions. The governing state and the venue for any dispute (likely California or Delaware) will be confirmed in the attorney-reviewed version of these Terms once our company's registration is complete.

15. Changes to Terms

We may update these Terms of Service from time to time. When we make material changes, we will notify you by posting the updated Terms in the app and updating the "Last updated" date at the top of this page, and where appropriate by other reasonable means. Your continued use of the app after the changes take effect means you accept the updated Terms.
